Terms and Conditions

§ 1 Scope

These Terms and Conditions ("Terms") apply to the use of the ViQO Health Intelligence platform ("ViQO", "Platform"), operated by Messieurs Dames UG (haftungsbeschränkt), Heimrad-Prem-Str. 4, 93426 Roding ("Provider", "we").

By registering and using ViQO, you accept these Terms. ViQO is a web-based platform (SaaS) for personalized health analysis and optimization.

§ 2 Registration and Account

1. Registration with a valid email address is required to use ViQO.
2. You are obliged to keep your login credentials confidential and protect them from third-party access.
3. Use is permitted from age 16. Persons under 18 require parental consent.
4. You confirm that the information you provide is truthful and complete.

§ 3 Service Description

ViQO offers the following services:

Free Plan (free of charge)

• Dashboard with basic features
• Wearable integration (WHOOP, Withings, Oura, Garmin)
• Basic tracking (nutrition, mood, detox)
• Daily check-in
• Limited AI features

Pro Plan

• All Free features
• Predictive Recovery and What-If Simulator
• Personal Health DNA and Micro-Experiments
• Unlimited AI chat
• AI-powered food recognition (photo)
• Extended trends, correlations, and weekly reports
• BioBoard, coaching nudges, and share cards

§ 4 Payment and Billing

1. Payment processing is handled by our payment service provider Stripe (Stripe Payments Europe, Ltd.).
2. Billing occurs monthly or annually in advance, depending on your chosen plan.
3. The subscription renews automatically for the selected period unless cancelled before the end of the current billing period.
4. All prices include applicable value-added tax (VAT).
5. In the event of failed payments, we reserve the right to restrict access to Pro features.

§ 5 Cancellation

1. The Free plan can be terminated at any time without reason by deleting your account.
2. The Pro plan can be cancelled at any time, effective at the end of the current billing period.
3. Cancellation is possible via account settings in the app or through the Stripe customer portal.
4. After cancellation, you retain access to all Pro features until the end of your paid period.
5. We reserve the right to suspend accounts immediately in case of violations of these Terms.

§ 6 Right of Withdrawal

As a consumer residing in the European Union, you have the right to withdraw from this contract within 14 days without giving any reason.

§ 7 Health Data and Disclaimer

1. ViQO is not a medical device within the meaning of the EU Medical Device Regulation (MDR 2017/745).
2. The analyses, recommendations, and predictions provided are for informational and self-optimization purposes only.
3. ViQO does not provide medical diagnoses and does not constitute medical advice.
4. For health concerns, questions about medication interactions, or pre-existing conditions, please always consult your physician.
5. Use of ViQO is at your own risk. We accept no liability for health decisions made based on ViQO recommendations.

§ 8 Limitation of Liability

1. We are fully liable for damages resulting from injury to life, body, or health, as well as for intentional or grossly negligent conduct.
2. In cases of slight negligence, we are only liable for breaches of essential contractual obligations (cardinal obligations), limited to foreseeable, typically occurring damages.
3. Liability for data loss is limited to the typical restoration costs that would have been incurred with regular data backups.
4. We do not guarantee uninterrupted availability of the platform. Maintenance and technical disruptions are possible.

§ 9 Data Protection

The collection and processing of your personal data is governed by our Privacy Policy. You have the right to access, rectify, delete, and transfer your data at any time in accordance with the GDPR.

§ 10 Changes to the Terms

We reserve the right to amend these Terms with reasonable notice. We will notify you of material changes by email or in-app notification at least 30 days in advance. If you do not object to the changes within 30 days of receiving the notification, the new Terms shall be deemed accepted. The notification will reference your right to object and the legal consequences.

§ 11 Final Provisions

1. The laws of the Federal Republic of Germany apply, excluding the UN Convention on Contracts for the International Sale of Goods.
2. The place of jurisdiction for disputes with merchants is Regensburg.
3. Should individual provisions of these Terms be invalid, the validity of the remaining provisions shall remain unaffected.
